REPRESENTATIVE MATTERS
Commercial Litigation: Represented dozens of IMBs, credit unions and banks in complex multi-million-dollar loan litigation.
Litigation: Defended lenders against consumer TILA, RESPA and other claims in state and federal court.
Insurance Claims: Obtained coverage for clients in under Mortgage Bankers Bond, CGL, title insurance and other policies.
Claim Management: Made clients whole by pursuing appraisers, brokers, borrowers and others for fraud, professional negligence and breach of contract claims.
Fraud Investigations: Investigated brokers, borrowers, appraisers, mortgage loan originators and others for misrepresentation, fraud, forgery, money laundering and other torts and crimes.
Repurchase Demand Claim Mitigation: Persuaded investors to rescind breach of contract claims in many cases where the facts were unfavorable for our clients, e.g., obtained rescissions of repurchase demand by, e.g., identifying an ambiguity in the investor’s own appraisal guidelines and establishing that the borrower’s income from multiple sources was stable and met guidelines.
Commercial Agreements: Negotiated and drafted commercial agreements concerning risk allocation, remedies, representations, and warranties.
Compliance Advising: Provided compliance advice regarding federal and state consumer privacy law.
Settlements: Negotiated and drafted settlement, non-disclosure and pre-negotiation agreements with opposing counsel.
Real Estate Litigation and Transactions: Lis pendens litigation, partition actions, defense of mechanic’s liens, disputes over deed of trust validity and priority, title claims and closing protection letter claims.
Employment Issues: Successfully resolved loan officer employment and wage claims; conduct workplace investigations.
Small Business Administration (SBA): Represented numerous clients before the SBA Office of Hearings and Appeals.
EXPERIENCE
Transactional Business: Effectively advised clients regarding secondary and capital markets. Negotiated loan sale and purchase agreements. Advised mortgage lenders, credit unions and national banks on a variety of other commercial agreements, including broker, warehouse, enterprise software, settlement agreements, and NDAs. Developed defenses to repurchase demands involving iron-clad agreements and negative facts. Advised clients on title claims and loan priority issues.
Compliance: Resolved consumer complaints and lawsuits relating to RESPA, TILA, HOEPA, loan closings, escrow accounting, loan errors, ADA, AML/BSA. Conducted fraud investigations and filed SARs. Advise clients as to privacy issues under the Gramm Leach Bliley Act and how to respond to requests for borrower documents.
Lawsuit and Dispute Management: Represented clients in complex federal mortgage loan litigation, including discovery and motion practice. For example, obtained favorable settlement for lenders in cases involving negative facts based upon creative statute of limitations defense. Resolved ADA claims against financial institutions.
Alternate Dispute Resolution: Participated in dozens of mediations and arbitrations.
